These Terms and Conditions ("Terms") govern your use of The Melting Pot's ("TMP") website and services. By accessing our website or using our services, you agree to these Terms.

1. General Terms

1.1 Scope of Services

TMP provides digital solutions including branding, digital marketing, and web development. These general terms apply to all TMP services unless otherwise specified.

1.2 Proposal Acceptance

All proposals are issued through HelloBonsai, our designated tool for proposals and agreements.

Clients confirm acceptance by selecting “accept proposal” on HelloBonsai or by written communication (email or signed document).

Such acceptance constitutes a legally binding agreement to these Terms and the specific terms outlined in the proposal.

These Terms & Conditions shall apply to all services provided by TMP and shall supersede any conflicting terms in client documents, purchase orders, or communications, unless expressly agreed otherwise in writing by TMP.

1.3 Payment Terms

Invoices are due within 15 days of issuance unless specified otherwise in the proposal or invoice.

TMP reserves the right to pause or delay work in the event of late payment and to withhold deliverables, access, or ownership transfer until full payment is received.

Late Fees: If an invoice remains unpaid after its due date, TMP reserves the right to apply a non-compounding late fee of up to 5% of the outstanding amount, applied the day after the due date and on a monthly basis thereafter until the balance is settled, as stated on TMP invoices.

1.4 Enforcement & Collection

TMP reserves the right to:

  • Suspend or terminate services in case of overdue payments
  • Restrict or revoke access to digital assets, including websites, hosting, or platforms managed by TMP
  • Engage third-party collection services or pursue legal recovery for outstanding amounts
  • Recover any administrative or legal costs associated with collection of unpaid invoices

1.5 Intellectual Property

All content, designs, and deliverables created by TMP remain our intellectual property until full payment is received.

Upon full payment, the client is granted rights to the final approved deliverables as outlined in the proposal.

TMP retains ownership of all concepts, drafts, working files, and unused materials unless otherwise agreed in writing.

Third-party assets (including fonts, plugins, stock materials, and software) remain subject to their respective licenses and are not owned by TMP or the client.

1.6 Confidentiality

Both parties agree to maintain confidentiality for proprietary or sensitive information disclosed during the project, including TMP’s proprietary methods and client-specific business details.

1.7 Termination of Services

Either party may terminate the agreement with written notice. Upon termination:

  • If the client terminates without cause, TMP reserves the right to retain payments for work completed up to the termination date.
  • No refunds or prorated refunds will be issued for services rendered unless otherwise specified in writing.

TMP reserves the right to immediately suspend or terminate services in cases of:

  • Overdue payments
  • Breach of terms
  • Misuse of services
  • Lack of communication impacting project delivery

1.8 Additional Revisions and Charges

Revisions outside the scope specified in the proposal may incur hourly fees, which vary by deliverable. TMP will communicate these fees to the client upon receiving the additional revision request.

1.9 Data Retention and Privacy

TMP retains client-provided assets and project files only for the duration of the project unless otherwise requested. Post-project, TMP will delete files upon client request, in line with TMP’s Privacy Policy.

2. Terms for Branding Services

2.1 Scope and Deliverables

TMP’s branding services may include logo design, brand identity, and visual guidelines as agreed upon in the proposal. Additional services or revisions beyond the specified scope may incur extra charges.

2.2 Revisions and Timelines

Revisions and project timelines for branding services are outlined in each individual proposal to best meet project requirements.

2.3 Intellectual Property Rights

Upon full payment, TMP grants the client rights to the branding deliverables for use as specified in the proposal. TMP retains the right to display branding work in our portfolio unless otherwise agreed.

3. Terms for Digital Marketing Services

3.1 Service Scope

Digital marketing services may include social media management, SEO, content marketing, and other services as outlined in the proposal.

3.2 Client Obligations

The client agrees to provide necessary assets, including brand guidelines and visuals, within the specified timeline. Delays in asset provision may impact project outcomes and deadlines.

3.3 Performance and Expectations

While TMP aims to optimize digital marketing efforts, we cannot guarantee specific results or metrics, as they depend on numerous variables, including market conditions and client cooperation.

3.4 Content Ownership

All digital marketing content created by TMP is transferred to the client upon full payment. TMP reserves the right to retain examples for portfolio purposes.

3.5 No Guarantee of Results

TMP does not guarantee specific business outcomes, including but not limited to search rankings, engagement metrics, or revenue performance, as these depend on multiple external factors.

4. Terms for Web Development Services

4.1 Scope of Services

TMP’s web development includes the design, development, and testing of websites as outlined in the project proposal. Additional features or changes beyond the initial scope may incur additional fees.

4.2 Project Milestones and Timelines

Timelines and project milestones for web development are customized and included in each proposal.

4.3 Warranty and Maintenance

TMP provides [30/60] days of post-launch support for bug fixes, as specified in the proposal. Extended maintenance or feature updates require a separate agreement.

4.4 Intellectual Property

Upon full payment, ownership rights to the website’s design and code are transferred to the client. TMP may showcase the project for portfolio purposes unless otherwise requested.

5. Third-Party Services

TMP may use or integrate third-party platforms including but not limited to Webflow, Shopify, hosting providers, and analytics tools.

TMP is not responsible for outages, errors, policy changes, or performance issues caused by these third-party services.

Clients are responsible for maintaining active subscriptions and compliance with third-party terms unless otherwise agreed.

6. Conflict Resolution

TMP and the client agree to resolve any disputes amicably and through mediation before pursuing legal action.

7. Force Majeure

TMP is not liable for delays or failure to perform due to events outside our control, including but not limited to natural disasters, labor disputes, or governmental actions.

8. Legal Jurisdiction

These Terms are governed by the laws of Egypt. Any disputes arising from these Terms will be resolved in Egyptian courts.

9. Limitation of Liability

TMP is not liable for indirect, incidental, or consequential damages resulting from the use of our services.

TMP’s total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

10. Changes to These Terms

TMP reserves the right to update these Terms as necessary. Changes will be posted here, and the effective date will be updated. Clients are encouraged to review these Terms periodically.
